By accessing and using the Manimatrix website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and others who access or use our services.
2. Description of Services
Manimatrix provides web development, cloud hosting, AI integration, AI agent deployment, software development, and related technology services. Specific details of the services provided will be outlined in individual service agreements or proposals. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice.
3. Use of Our Services
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to: • Use our services in any way that violates applicable laws or regulations • Attempt to gain unauthorized access to any part of our services • Interfere with or disrupt the services or servers • Use our services to transmit any harmful, offensive, or illegal content • Reverse engineer, decompile, or disassemble any software we provide • Use our services to send unsolicited communications or spam
4. Intellectual Property
All content, features, and functionality of our website and services—including text, graphics, logos, software, and code—are owned by Manimatrix and protected by copyright, trademark, and other intellectual property laws. Any custom work, code, or deliverables created for a client will be subject to the terms outlined in the individual service agreement. Unless otherwise specified, ownership transfers to the client upon full payment.
5. Payment Terms
Payment terms for services will be specified in individual service agreements or proposals. Unless otherwise agreed: • A deposit may be required before work begins • Invoices are due within 30 days of issuance • Late payments may incur interest charges • All fees are non-refundable except as expressly stated in our refund policy We reserve the right to suspend services for accounts with overdue payments.
6. Refund Policy
We offer a 30-day money-back guarantee on subscription plans. If you are not satisfied with your subscription within the first 30 days, we will refund your payment in full. For custom development projects, refunds are subject to the terms outlined in the individual service agreement. Work completed up to the point of cancellation will be billed accordingly. 7. Service Level Agreement (SLA)
For hosting and managed services, we strive to maintain 99.9% uptime. In the event of downtime that falls below this threshold, affected clients may be eligible for service credits based on the duration and severity of the outage. SLA terms and compensation details will be specified in individual service agreements.
8. Limitation of Liability
To the maximum extent permitted by law, Manimatrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of our services. Our total liability for any claims arising from these Terms or our services shall not exceed the amount you have paid us in the three months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Manimatrix and its affiliates from any claims, damages, losses, liabilities, costs, and expenses arising from your use of our services or your violation of these Terms.
10. Termination
We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any violation of these Terms. Upon termination, your right to use our services will cease immediately. Any provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
11. Changes to Terms
We may revise these Terms of Service from time to time. The most current version will always be posted on this page with the updated "last updated" date. By continuing to use our services after any changes, you agree to be bound by the revised terms.
